Terms of Service

Please read these Terms of Service (201cTerms201d) carefully before engaging DopeSEO (201cCompany,201d 201cwe,201d 201cus,201d or 201cour201d) for any services. By signing a proposal, executing a service agreement, making a payment, or otherwise engaging DopeSEO in any professional capacity, you (201cClient201d) agree to be bound by these Terms in their entirety.

1. Engagement & Custom Service Agreements
1.1 Every client engagement with DopeSEO is governed by a custom-written proposal, statement of work, or service agreement (201cAgreement201d) specific to that project, client, and scope of work. No two Agreements are identical. The specific deliverables, timelines, fees, and terms of any engagement are defined exclusively in the Agreement executed between DopeSEO and the Client for that engagement.
1.2 These Terms of Service apply to all DopeSEO engagements and are incorporated by reference into every Agreement unless explicitly superseded in writing by a specific Agreement provision. In the event of a conflict between these Terms and a specific Agreement, the Agreement governs for that specific engagement.
1.3 No verbal agreements, email discussions, informal conversations, or previous course of dealing create binding obligations on DopeSEO unless reduced to a signed written Agreement. Proposals are not binding until signed by both parties and the applicable deposit is received.
1.4 DopeSEO reserves the right to decline any engagement at its sole discretion, including after a proposal has been issued, until a signed Agreement and deposit are received.
2. Fees, Payment, and No-Refund Policy
2.1 Fees
All fees for DopeSEO services are set forth in the applicable Agreement. Fees are due as specified in the Agreement — typically a deposit at signing with the remainder due at project milestones or on a recurring monthly schedule. Nothing offered or delivered by DopeSEO is free of charge unless explicitly stated in writing in a signed Agreement.
2.2 No Refunds — All Sales Final

All fees paid to DopeSEO are non-refundable. No exceptions.
This applies to: · Deposits and retainer payments · Monthly SEO, ORM, or marketing retainer fees · Website build fees at any stage of completion · Content creation, strategy, or consulting fees · Any other service fees paid to DopeSEO
By making payment to DopeSEO, Client acknowledges and agrees that all fees are earned upon receipt and that no refund will be issued under any circumstance, including dissatisfaction with results, early termination of the engagement, or changes in the Client’s business situation. |
2.3 If Client terminates an engagement prior to completion, all fees paid to date are forfeited. If work is in progress at the time of termination, DopeSEO will deliver completed work product through the termination date. No partial refunds will be issued for work not yet completed unless explicitly stated in the Agreement.
2.4 Monthly retainer fees are due on the date specified in the Agreement. Invoices not paid within 10 days of the due date are subject to a late fee of 1.5% per month on the outstanding balance. DopeSEO reserves the right to suspend services for accounts more than 15 days past due without liability to the Client.
2.5 Disputed charges must be communicated in writing within 10 days of the invoice date. DopeSEO will review and respond in good faith. Initiating a chargeback or payment dispute without first exhausting good-faith resolution with DopeSEO constitutes a material breach of these Terms and the applicable Agreement.
3. No Guarantee of Results
3.1 DopeSEO provides digital marketing, SEO, web development, and related services with professional skill and experience. However, DopeSEO makes no guarantees, warranties, or representations of any kind regarding specific outcomes, including but not limited to:
- Search engine rankings on Google, Bing, or any other search platform
- Organic traffic volume or growth rates
- Lead generation volume or quality
- Revenue, conversion rates, or return on investment
- Ranking timelines or speed of results
- Placement in Google Maps, the local pack, People Also Ask, or any other SERP feature
- Review platform ratings or review volume outcomes
- Social media reach, follower growth, or engagement metrics
3.2 Any projections, estimates, forecasts, or examples of results provided by DopeSEO in proposals, presentations, or conversations are illustrative only and do not constitute a guarantee or warranty of similar results for Client.
3.3 Results from SEO, content, and digital marketing services are inherently variable, dependent on numerous factors outside DopeSEO’s control, and typically develop over extended time horizons. Client acknowledges this reality and agrees that the absence of specific results within any given timeframe does not constitute a breach of the Agreement or grounds for a refund.
4. Third-Party Platforms & Search Engine Control
| DopeSEO does not control Google, Bing, Yelp, or any other search engine or platform.
Search engine algorithms change. Core updates happen without notice. Rankings fluctuate. These are facts of the industry, not failures of service. |
4.1 DopeSEO has no affiliation with, control over, or special access to Google, Bing, Yelp, Facebook, Yelp, Apple Maps, or any other search engine, review platform, social media platform, or third-party service. DopeSEO cannot guarantee how or whether any platform will index, rank, display, or treat Client content, listings, or website.
4.2 Search engines including Google regularly update their ranking algorithms, sometimes dramatically. These updates — commonly referred to as core updates, algorithm updates, or quality updates — can affect rankings for any website, including those receiving active SEO services. DopeSEO is not liable for ranking changes, traffic losses, or other impacts resulting from search engine algorithm updates or platform policy changes beyond our control.
4.3 Review platforms including Yelp operate their own content moderation, review filtering, and display algorithms that DopeSEO cannot influence or control. The visibility, display, or removal of reviews on any platform is determined entirely by that platform and is outside DopeSEO’s scope of control.
4.4 Changes to third-party platforms — including changes to Google Business Profile features, search console tools, ad platforms, social media algorithms, or directory platforms — may affect the deliverables or outcomes of DopeSEO’s services. DopeSEO will adapt strategies to such changes in good faith but is not liable for impacts resulting from them.
5. Client-Initiated Changes & Third-Party Interference
5.1 DopeSEO’s services — particularly website development, SEO, and technical work — operate on the basis of a stable, DopeSEO-managed technical environment. Client acknowledges that unauthorized or undisclosed changes to the website, hosting environment, DNS settings, or related systems can disrupt, damage, or destroy the work DopeSEO has performed.
| If you or anyone you hire makes changes to your website or technical infrastructure without DopeSEO’s knowledge — you own the consequences.
· DopeSEO is not responsible for functionality breaks, ranking losses, security vulnerabilities, or data issues caused by unauthorized third-party modifications. · Repairs required as a result of unauthorized changes are billable work, charged at DopeSEO’s then-current hourly rate. · DopeSEO will not provide free remediation for damage caused by parties other than DopeSEO. |
5.2 ‘Unauthorized changes’ includes but is not limited to: plugin installations or updates performed outside DopeSEO’s managed update schedule; theme modifications; custom code additions; hosting migrations; DNS changes; content management system changes; integration installations; and any other technical modifications to the website or its environment not coordinated with DopeSEO in advance.
5.3 If Client wishes to make changes to the website or technical environment, Client must notify DopeSEO in advance. DopeSEO will advise on the safest approach or incorporate the change into the managed workflow. Changes made without this coordination are at Client’s sole risk.
5.4 Client changes that affect SEO performance — including content deletions, URL structure changes, redirect removals, meta data modifications, or technical configuration changes — may negatively impact search rankings. DopeSEO is not liable for ranking losses caused by Client-initiated changes and will charge for the work required to diagnose and remediate such impacts.
5.5 If Client engages another agency, freelancer, or developer to work on systems also managed by DopeSEO, Client must disclose this to DopeSEO in advance. Concurrent management of the same systems by multiple parties creates conflicts that DopeSEO cannot be responsible for resolving at no charge.
6. Scope of Services
6.1 DopeSEO’s obligations are defined exclusively by the signed Agreement for each engagement. Work outside the defined scope — including additional pages, additional locations, additional services, additional revisions beyond those specified, or any other work not explicitly included in the Agreement — is not included in the agreed fee and will be quoted and billed separately.
6.2 Scope changes requested by Client during an active engagement will be evaluated and, if agreed, documented in a written change order or amendment to the Agreement. DopeSEO is not obligated to perform out-of-scope work and is not in breach for declining such requests.
6.3 Timelines specified in any Agreement assume Client provides required materials, approvals, access, and feedback within the timeframes specified. Delays caused by Client — including delayed content delivery, delayed feedback on designs or drafts, delayed domain or hosting access, or delayed payment — extend timelines accordingly and do not constitute a breach by DopeSEO.
7. Intellectual Property
7.1 Upon receipt of full payment for a completed engagement, DopeSEO assigns to Client all rights in the final deliverables created specifically for that Client under the applicable Agreement, including website designs, written content, and graphics, to the extent such deliverables are original works created by DopeSEO. This does not include third-party licensed assets, stock media, software, themes, plugins, or frameworks, which remain subject to their respective licenses.
7.2 Until full payment is received, DopeSEO retains all rights to work in progress and completed deliverables. DopeSEO reserves the right to remove, disable, or withhold delivery of work product in the event of non-payment.
7.3 DopeSEO retains the right to reference Client’s name, website, and general project description in DopeSEO’s portfolio and marketing materials unless Client requests otherwise in writing.
8. Limitation of Liability
8.1 To the maximum extent permitted by applicable law, DopeSEO’s total liability to Client for any claim arising out of or related to these Terms or any Agreement shall not exceed the total fees paid by Client to DopeSEO in the three (3) months immediately preceding the event giving rise to the claim.
8.2 DopeSEO is not liable for any indirect, incidental, consequential, punitive, or special damages, including lost profits, lost revenue, lost business opportunities, or reputational harm, arising from or related to DopeSEO’s services or any failure thereof, even if DopeSEO has been advised of the possibility of such damages.
8.3 DopeSEO is not liable for damages caused by: search engine algorithm updates; platform policy changes; actions of third-party vendors; Client-initiated or third-party-initiated changes to Client systems; force majeure events; or any circumstances outside DopeSEO’s reasonable control.
9. Termination
9.1 Either party may terminate an ongoing retainer engagement with 30 days written notice. Project-based engagements (website builds, one-time deliverables) may not be terminated mid-project without forfeiture of all fees paid to date.
9.2 DopeSEO reserves the right to terminate any engagement immediately and without refund if: Client fails to make payment when due; Client engages in abusive, threatening, or harassing conduct toward DopeSEO staff; Client requests work that is illegal, unethical, or in violation of these Terms; or Client materially breaches the Agreement.
9.3 Upon termination, DopeSEO will deliver all completed work product for which full payment has been received. Work in progress at the time of termination will be delivered at DopeSEO’s discretion. No refunds will be issued for completed or in-progress work.
10. Governing Law & Dispute Resolution
10.1 These Terms and all Agreements between DopeSEO and Client are governed by the laws of the State of Texas, without regard to its conflict of law provisions.
10.2 Any dispute arising out of or relating to these Terms or any Agreement shall first be subject to good-faith negotiation between the parties for a period of 30 days. If unresolved, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association, conducted in Dallas County, Texas.
10.3 Client waives any right to bring claims as a class action or in any representative capacity. All disputes must be brought in Client’s individual capacity only.
11. Modifications to These Terms
DopeSEO reserves the right to update these Terms of Service at any time. Updated Terms will be posted at dopeseo.com with a revised effective date. Continued engagement with DopeSEO following any update constitutes acceptance of the updated Terms. It is Client’s responsibility to review these Terms periodically.
